Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SLAB (Sell Land And Buy) marketplace, websites, mobile applications, and related services (collectively, the "Service") operated by SLAB, Inc. ("SLAB," "we," "us"). By creating an account, listing a property, making an offer, or otherwise using the Service, you agree to be bound by these Terms.

1. The Service

SLAB is an online marketplace that connects prospective buyers and sellers of real property (land). SLAB is not a real estate broker, agent, attorney, title company, escrow agent, appraiser, surveyor, or lender. SLAB does not own, list on its own behalf, buy, sell, finance, or take title to any property offered through the Service. SLAB does not represent buyers or sellers, does not negotiate on behalf of any user, and is not a party to any purchase and sale agreement between users.

2. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into binding contracts to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@slab.example of any unauthorized use.

3. Listings & Content

Sellers are solely responsible for the accuracy, completeness, legality, and quality of their listings, including parcel boundaries, acreage, access rights, easements, mineral or water rights, zoning, encumbrances, taxes, environmental conditions, and photos or maps. By posting a listing, you represent and warrant that (a) you own the property or are duly authorized to list it, (b) all information is true and not misleading, and (c) the listing does not violate any third-party right or applicable law. SLAB may remove or modify any listing at its sole discretion.

4. Offers, Acceptance & Closing

Offers submitted through the Service are communications between users. A binding purchase and sale contract is formed only when the parties execute a written purchase agreement that complies with the statute of frauds and other laws of the jurisdiction in which the property is located. Closing, title transfer, recording, and disbursement of funds are handled by a qualified third-party closing agent (title company, escrow company, or attorney) selected by the parties. SLAB does not perform closings.

5. Payments, Fees & Commission

SLAB charges a 3% commission on the final sale price of each completed transaction, disclosed in the Commission Disclosure. Payment processing, escrow, and payouts are provided by third-party processors (currently Stripe and Stripe Connect), which have their own terms. You authorize SLAB and its processors to deduct fees and remit net proceeds. You are responsible for all taxes arising from your use of the Service and any sale.

6. Due Diligence & No Reliance

You acknowledge that real property transactions carry significant risk. Buyers must independently investigate title, survey, boundaries, zoning, permitted use, access, utilities, flood zones, wetlands, soils, environmental contamination, tax status, HOA or POA obligations, and any other matter that would affect the decision to purchase. You agree that you are not relying on SLAB or any content provided through the Service in deciding whether to buy or sell property, and that SLAB makes no representation regarding any listing or user.

7. Prohibited Conduct

You agree not to: (a) post false, misleading, or fraudulent listings; (b) circumvent SLAB's payment or commission structure, including soliciting or completing transactions off-platform to avoid fees; (c) use the Service for money laundering, sanctions evasion, or any unlawful purpose; (d) scrape, reverse engineer, or overload the Service; (e) discriminate against any protected class in violation of the Fair Housing Act or comparable law; (f) impersonate any person or misrepresent your affiliation; or (g) upload malicious code.

8. Intellectual Property; License to Content

SLAB and its licensors retain all right, title, and interest in the Service. You grant SLAB a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, adapt, publish, translate, and display content you submit for the purpose of operating, promoting, and improving the Service. You represent that you have all rights necessary to grant this license.

9. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. SLAB DOES NOT WARRANT THE ACCURACY OF ANY LISTING, THE CONDUCT OF ANY USER, THE OUTCOME OF ANY TRANSACTION, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLAB AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. SLAB'S AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE COMMISSIONS PAID BY YOU TO SLAB IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) US$100.

11. Indemnification

You agree to defend, indemnify, and hold harmless SLAB from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your listings or content, (b) your use of the Service, (c) your violation of these Terms or applicable law, or (d) any transaction you enter into with another user.

12. Dispute Resolution & Arbitration

You and SLAB agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer rules, seated in Delaware, and governed by the Federal Arbitration Act. You and SLAB waive any right to a jury trial or to participate in a class action. See the Dispute Resolution Policy for the required informal-resolution step and the 30-day opt-out procedure.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms or fraudulent activity. You may close your account at any time. Sections that by their nature should survive termination (including Sections 5–12 and this Section) will survive.

14. Governing Law; Changes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. We may update these Terms from time to time; material changes will be notified via the Service or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
